Statute of the Italy-Japan Science Forum (IJSF)

Article 1
The Italy-Japan Science Forum (hereafter IJSF) is a non-profit association governed by the present statute.

Article 3
The duration of the JIFS as an association is unlimited and can be terminated by decision of the General Assembly.
Purposes

Article 4
The IJSF aims at supporting scientific and cultural exchanges between Japan and Italy, in cooperation with other associations with similar intents.
Article 5
In order to accomplish the aims stated in Article 4, the IJSF will promote exchanges of researchers, information, and knowledge between Japan and Italy, by organizing directly or supporting indirectly seminars, workshops, and conferences, by supporting the travel expenses of individual researchers, and through other activities that the General Assembly and the Committee will find appropriate.

Article 6
The activities of the IJSF are funded through donations, private and public subsidies, and any other resources authorized by the law.
The funds shall be used in conformity with the association's aims.
Members

Article 7
Members of the JIFS shall be persons or associations who share the aims of the IJSF.
The JIFS comprises ordinary members and associate members.
Ordinary members are scientific researchers who support the aims of the IJSF. Associate members are other (physical or institutional) persons that support the aims of the IJSF.
Requests to become a member must be addressed to the Committee. The Committee admits new members and informs the General Assembly accordingly.
Membership ceases:
a) on death;
b) by written resignation notified to the Committee at least six months before the end of the financial year;
c) by exclusion ordered by the Committee, for just cause, with a right of appeal to the General Assembly. Appeals must be lodged within 30 days of the Committee's decision being notified;
Members who have resigned or who are excluded have no rights to any part of the Association's assets.
Only the assets of the Association may be used to meet commitments. Members have no individual responsibility.

Article 8
The Association's organs are The General Assembly and The Executive Committee.
General Assembly

Article 9
The General Assembly is the Association's supreme authority. It is composed of all the members.
It shall hold an Ordinary Meeting once each year, also by telematic means. It may also meet in extraordinary session whenever necessary, by decision of the Committee or at the request of one-fifth of the members.
The General Assembly shall be considered valid regardless of the number of members present.
The Committee shall send notice of the meeting to members at least six weeks in advance. The convocation, including the proposed agenda, shall be sent to each member at least 10 days prior to the date of the meeting.
Article 10
The General Assembly:
a) approves the admission and expulsion of members;
b) appoints the members of the Committee and elects, at a minimum, the President and the Secretary;
c) notes the contents of the reports and financial statements for the year and votes on their adoption;
d) approves the annual budget;
e) supervises the activity of other organs, which it may dismiss, stating the grounds therefore;
f) decides on any modification of statutes;
g) decides on the dissolution of the association;
Article 11
The General Assembly is presided over by the president of the IJSF.
Article 12
Decisions of the General Assembly shall be taken by a majority vote of the members present. In case of deadlock, the President shall have the casting vote.
Decisions concerning the amendment of the Statutes and the dissolution of the Association must be approved by a two-third majority of the members present.
Article 13
Votes are by a show of hands or by other (also telematic) means.
Committee

Article 14
The Committee manages the ordinary business of the IJSF and is authorized to carry out all acts that further the purposes of the association.
Article 15
The Committee is composed of at least (??) members elected by the General Assembly. Each member's term of office shall last for 3 years and is renewable 3 times. The Committee meets as often as required.
Article 16
The Committee members act voluntarily and can only be compensated for their effective and travel costs. Eventual fees cannot exceed that paid for official commissions. For activities exceeding the usual function, each committee member can receive appropriate compensation.

Article 17
The financial year shall begin on 1st of January and end on 31st of December of each year.
Article 18
In the case of the association being dissolved, the assets should be allotted to a non-profit organization pursuing goals of public interest similar to those of the IJSF.
